Public offer agreement

This document is official public offer. Placing order on site means acceptance of this agreement terms.
1. General provisions
1.1. This Agreement is official proposal (public offer) of Online store santehpoliv.com (hereinafter — «Seller») to any individual or legal entity (hereinafter — «Buyer») conclude product purchase-sale agreement remotely on terms defined in this Agreement.
1.2. According to art. 633, 641 of Civil Code of Ukraine, this Agreement terms are public and same for all Buyers. Unconditional acceptance (acceptance) of this proposal terms is considered Buyer's fact of placing Order on Online store website.
1.3. Agreement considered concluded from moment Buyer receives electronic confirmation of Order acceptance or from moment of actual Product transfer, depending on which comes first.
2. Term definitions
- "Site"
- Web resource located on Internet at address santehpoliv.com, which is platform for presenting Products and placing Orders.
- "Product"
- List of material and technical means (irrigation equipment, plumbing, pipes, fittings, pumping equipment, etc.), information about which posted on Site.
- "Order"
- Properly completed and placed on Site Buyer's application to purchase selected Products.
- "Significant defect"
- Defect that makes impossible or unacceptable using product according to its intended purpose, arose from manufacturer's (Seller's) fault, after its elimination appears again from causes independent of consumer.
3. Agreement subject
3.1. Seller undertakes to transfer Product ownership to Buyer, and Buyer undertakes to accept and pay for Product on terms of this Agreement.
3.2. Product ownership rights transfer to Buyer at moment of Product delivery to Buyer or courier service representative, subject to full payment of Product cost.
4. Order placement procedure
4.1. Buyer independently places Order on Site through "Cart" form or by phone at number +380978720107.
4.2. When placing Order Buyer undertakes to provide reliable information: surname, name, contact phone, delivery address. Seller not responsible for inability to fulfill Order due to Buyer providing incorrect data.
4.3. If ordered Product unavailable in warehouse, Seller informs Buyer about this (by phone or through email). Buyer has right to agree to Product replacement with similar one, wait for delivery or cancel Order.
4.4. Product photos on Site may slightly differ from actual Product appearance (color shade, minor design details), which doesn't affect its functional characteristics. Technical characteristics may be changed by manufacturer without notice.
5. Price and payment procedure
5.1. Price of each Product specified on Site. Seller has right to unilaterally change price for any Product item. However, price for already confirmed by Seller Order not subject to change.
5.2. Delivery cost not included in Product price and paid separately according to logistics operator rates, unless otherwise specified on Site (e.g., promotional offers with free delivery on orders from 3000 UAH).
5.3. Product payment made by:
- Cash on delivery (postpayment)
- Bank transfer to Seller's account
- Online payment through payment systems connected to Site
5.4. For wholesale and regular customers individual payment terms may apply (payment deferral), regulated by separate agreements.
6. Delivery and product acceptance terms
6.1. Product delivery carried out by transport companies ("Nova Poshta", "Ukrposhta", etc.) or by self-pickup.
6.2. Important: Upon receiving Product Buyer obliged in presence of delivery service representative to check package integrity, Product completeness and absence of mechanical damage.
6.3. If damage or incompleteness detected, Buyer must complete Damage/Shortage Report together with carrier representative and refuse acceptance.
6.4. Seller not responsible for mechanical damage (cracks, chips, deformations) detected by Buyer after Product receipt and exit from delivery service branch if such damage not recorded in Report upon receipt.
7. Warranty and product return
Critical conditions: Carefully read return terms and limitations
7.1. Product return and exchange regulated by Law of Ukraine "On Consumer Rights Protection".
7.2. Proper quality product return
- Buyer has right to return Product within 14 days, not counting purchase day, if it didn't fit shape, dimensions, style, color or for other reasons cannot be used as intended.
- Return possible only if Product not used, its marketable appearance, consumer properties, seals, labels preserved, and settlement document (receipt).
- Proper quality product return delivery costs borne by Buyer.
7.3. Return limitations (measured product)
According to CMU Resolution dated 19.03.1994 № 172, proper quality products cut or tailored to size specified by Buyer not subject to return and exchange.
Such products on santehpoliv.com site include:
- Pipes
- Garden hoses
- Agro fabric
- Film
- Cable products
- Other materials sold by cut
By ordering such Product, Buyer confirms agreement that this Product not subject to return if it's proper quality.
7.4. Technically complex products warranty
- Products classified as technically complex household products (pumps, automation, controllers) covered by manufacturer warranty obligations.
- Warranty period specified in operational documents (warranty card) supplied with Product.
- If equipment fails during warranty period, Buyer must contact authorized service center specified in warranty card, or Seller to transfer product for service.
8. Parties' responsibility
8.1. Seller responsible for Product quality according to Ukrainian legislation.
8.2. Liability limitations
Seller not responsible for:
- Damage caused to Buyer or third parties due to improper Product installation, connection or operation (e.g., water leakage through incorrectly installed fitting or exceeding permissible system pressure).
- Product non-compliance with Buyer's subjective expectations if Product meets its technical characteristics.
- Delivery delay caused by transport company fault.
8.3. Seller's liability for any claims limited to purchased Product cost.
9. Confidentiality and personal data
9.1. By accepting this Agreement, Buyer gives consent to collect and process their personal data (full name, phone, address) for Order fulfillment, accounting and sending information messages (SMS, e-mail) about Order status.
9.2. Seller undertakes not to transfer data to third parties, except cases necessary for Order fulfillment (e.g., data transfer to delivery service).

10. Force majeure
10.1. Parties released from liability for obligations non-fulfillment if such non-fulfillment resulted from force majeure circumstances (war, military actions, blockade, embargo, natural disasters, power system accidents, state authority actions) that arose after Agreement conclusion.
