This document is official proposal (public offer) of entrepreneur acting on basis of record in Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations, addressed to unlimited circle of individuals and legal entities (hereinafter - "Buyer"), to conclude product purchase-sale agreement remotely on terms outlined below.
Agreement is public according to art. 633 of Civil Code of Ukraine, and its terms same for all Buyers regardless of status (individual, legal entity, individual entrepreneur), except those granted appropriate benefits by legislation.
1. Term definitions
- 1.1. Site
- Web page on Internet at address santehpoliv.com, including all its subdomains, which is platform for placing Product sale proposals.
- 1.2. Product
- List of material objects (irrigation systems, plumbing equipment, pipes, hoses, agro fabric, fittings and components), images and characteristics of which posted on Site.
- 1.3. Orders
- Voluntarily completed Buyer application to purchase selected Products, submitted through electronic form on Site or by phone.
- 1.4. Acceptance
- Buyer action indicating acceptance of this Offer terms, namely: placing Order on Site or paying for Product.
- 1.5. Measured product
- Product whose price established per unit of measurement (linear meter, square meter) and which subject to cutting/tailoring to Buyer's individual parameters (hoses, pipes, film, agro fabric, etc.).
2. Agreement subject
2.1. Seller undertakes to transfer Product ownership to Buyer, and Buyer undertakes to accept and pay for Product on terms of this Agreement.
2.2. This Agreement regulates purchase-sale in Online store, including:
- voluntary Buyer selection of Products
- independent Buyer Order placement
- Buyer Order payment
- Order processing and delivery to Buyer on terms of this Agreement
3. Order placement procedure
3.1. Buyer has right to place order for any Product presented on Site.
3.2. Product availability information on Site is dynamic. If ordered Product unavailable in warehouse, Seller manager obliged to inform Buyer about this (by phone or through email/messenger).
3.3. If Product unavailable Buyer has right to replace it with similar model product, refuse this Product, or cancel order.
3.4. Seller has right to refuse order fulfillment if information specified by Buyer during order placement is incomplete or unreliable.
3.5. For B2B clients (Wholesale/Dropshipping): Wholesale order placement may be regulated by additional agreements or special price offers sent to Buyer individually.
4. Product price and payment procedure
4.1. Product prices indicated in Ukraine national currency (hryvnia).
4.2. Seller reserves right to change Product price on Site unilaterally. However, price for already manager-confirmed Order not subject to change.
4.3. Payment methods:
- Cash — on delivery (postpayment) at carrier branch (carrier charges additional commission for funds transfer).
- Bank transfer — transfer to bank card or entrepreneur/LLC account by IBAN details.
- Online payment — through payment systems (LiqPay, WayForPay, etc.) integrated on Site.
4.4. Prepayment for Measured products: Seller has right to require 100% or partial prepayment for Products cut to individual order (pipes, hoses by cut), as such products have individually determined properties.
4.5. If Order not paid within 3 (three) banking days from invoice issuance (when choosing prepayment), Order cancelled.
5. Delivery and product transfer terms
5.1. Product delivery carried out by transport companies (particularly "Nova Poshta", "Ukrposhta", "Delivery") throughout Ukraine.
5.2. Delivery cost not included in Product price and paid by Buyer according to carrier rates, unless otherwise directly stated on Site (promotional offers).
5.3. Risk transfer moment: Risk of accidental Product destruction or damage transfers to Buyer from moment Seller transfers Product to carrier company (courier service).
5.4. Verification obligation: Upon receiving Product at carrier branch or from courier, Buyer obliged to check package integrity, mechanical damage absence and Product completeness.
5.5. If damage or shortage detected, Buyer obliged to complete Claim Report (Acceptance-Transfer Report) in presence of carrier representative and immediately notify Seller. Claims regarding mechanical damage filed after Product receipt without Report completion not considered by Seller.
5.6. Dropshipping: Buyer agrees that Order may be shipped directly from partner manufacturer or distributor warehouse, which may affect delivery cost (splitting into several packages).
6. Product return and exchange
Critical conditions: Carefully read return terms and limitations
6.1. Proper quality product return and exchange regulated by Law of Ukraine "On Consumer Rights Protection". Buyer has right to return Product within 14 days, not counting purchase day, if Product didn't satisfy them by shape, dimensions, style, color, size or for other reasons cannot be used as intended.
6.2. Return possible provided Product not used, its marketable appearance, consumer properties, seals, labels preserved, and settlement document (receipt/waybill) issued to Buyer together with sold Product.
6.3. Return limitations (Important)
According to Appendix №3 to Cabinet of Ministers of Ukraine Resolution dated 19.03.1994 № 172, not subject to exchange and return proper quality products belonging to category:
- Linear and sheet metal, pipe products
- Lumber, molding products (baseboard, trim)
- Cut or tailored to size specified by Buyer (customer) materials (film, agro fabric, nets, hoses by cut, pipes)
By ordering Measured product, Buyer confirms familiarization with clause 6.3 of this Agreement and agreement that such Product not subject to return (absent manufacturing defect).
6.4. Refund made to Buyer's bank account within 7 (seven) days from moment Seller receives and verifies returned Product.
7. Warranty obligations
7.1. Products sold by Seller come with warranty, period of which established by manufacturer. Warranty period information specified in Product description or warranty card.
7.2. Warranty doesn't cover defects and malfunctions resulting from:
- Hydraulic shock or exceeding permissible system operating pressure (for hoses, tapes, fittings).
- Installation rules violation (absence of pressure reducers, coarse water filters, etc.).
- Low temperature effects (water freezing in irrigation system).
- Mechanical damage caused by Buyer or third parties.
- Natural wear (sealing rings, gaskets).
7.3. Seller not responsible for purchased Product compatibility with Buyer's other equipment if such compatibility not directly guaranteed by manufacturer.
8. Parties' responsibility
8.1. Parties bear responsibility for non-fulfillment or improper fulfillment of this Agreement terms in procedure provided by this Agreement and current Ukrainian legislation.
8.2. Seller not responsible for:
- Product appearance or configuration change by manufacturer without notice.
- Minor Product color mismatch, which may depend on Buyer monitor settings.
- Transport company delays.
8.3. In case of force majeure circumstances (military actions, natural disasters, quarantine restrictions, blackouts) Parties' obligation fulfillment postponed for duration of such circumstances.
9. Confidentiality and personal data
9.1. By accepting this Agreement, Buyer gives full consent to collect, process and store their personal data (full name, address, phone, e-mail) in Seller database.
9.2. Personal data processing purpose is ensuring civil law relations, providing goods sale and delivery services, and implementing advertising and marketing activities (news mailings, promotions).
9.3. Buyer agrees that Seller has right to transfer their personal data to third parties (courier services, carriers, suppliers during dropshipping) exclusively for Order fulfillment purpose.

10. Other terms
10.1. Seller has right to make changes to this Agreement unilaterally by publishing new edition on Site. Changes take effect from publication moment.
10.2. This Agreement valid until full fulfillment of obligations by Parties.
10.3. Online store may contain links to other websites, for content of which Seller not responsible.
